Contracting with HeroDevs

What does HeroDevs Provide?

• In its simplest form, HeroDevs provides a secure and compliant drop-in replacement for end-of-life open-source software that your company relies on.
• When open-source software goes ‘end-of-life’, it no longer receives support / updates from the community. This means that enterprises which rely on this open-source software are now at risk of compliance and security vulnerabilities.

What are HeroDevs Subscription Services

• HeroDevs creates a ‘fork’ of a stable version of the open-source software, called HeroDevs Software. HeroDevs then offers patches/updates, support (phone and email), and committed SLAs via a Subscription to the HeroDevs Software. These services and the HeroDevs Software combine to form the Subscription Services.
• During the term of Subscription Services, customers receive updates to ensure compliance and security are maintained. Upon the conclusion of the Subscription Services term, customers get to keep both the Software and all the patches/updates delivered during the term.

Does HeroDevs provide SaaS / Hosted Services

• No, the HeroDevs Software and Subscription Services are installed and managed entirely by HeroDevs customers within their own infrastructure.

Why HeroDevs doesn't provide a HIPAA BAA

• HeroDevs does not require, and its products are not designed to be used to store, Protected Health Information (PHI). In addition, HeroDevs, as an organization, does not desire or need to receive, process, store, transact or otherwise possess PHI in order to provide our products and services. Given this fact, HeroDevs is not included within the definition of a “Business Associate” as defined under the Health Insurance Portability and Accountability Act (HIPAA).

How do enterprises purchase from HeroDevs?

• Customers and HeroDevs sign an Order Form which includes the following:
  • Subscription Services being procured;
  • Subscription Term Length;
  • Price/discounting; and
  • Applicable terms and conditions.
• HeroDevs will not sign any purchase order (PO) terms.

When does HeroDevs negotiate terms and conditions?

• HeroDevs is committed to providing the most secure and compliant drop-in replacements for the world’s leading open-source software. With this in mind, we must focus our efforts and resources on creating these offerings.
• As such, HeroDevs requires that all purchases under $25,000USD be governed by the HeroDevs Subscription Agreement. HeroDevs has worked extensively to ensure these terms and conditions are in alignment with enterprise-level industry standards.
• For investments of over $25,000, HeroDevs will agree to specific edits to the Subscription Agreement via the Order Form.

Why can’t HeroDevs use other terms and conditions?

• As detailed above, HeroDevs provides Subscription Services that are based upon open-source software. As such, the applicable terms and conditions must specifically address the HeroDevs products accurately. This is beneficial for both HeroDevs and its customers.
